Terms of Service

These terms apply when your organisation signs up for, buys or uses SkillsLedger. By starting a trial, placing an order or using the service, you agree to them on behalf of your organisation.

1. About these terms
SkillsLedger ("we", "us") provides a skills-matrix application to organisations, each in its own private workspace. "You" means the organisation that signs up, and the person who accepts these terms confirms they're authorised to do so for it.
SkillsLedger is a business service. It's sold to organisations for business use, not to consumers.
2. Free trial
New workspaces start with a free 30-day trial, with every feature included and no card needed. At the end of the trial the workspace becomes read-only until a licence is bought. We may end trials that are unused or misused, and we may delete trial workspaces that haven't been licensed after a reasonable period.
3. Licences, seats and payment
- A licence covers a number of seats (people who rate their skills) for one year. Prices are as shown when you place your order.
- Renewing adds a year to your current end date. Extra seats added part-way through a licence are charged for the time left and end on the same date as the licence.
- Orders are paid upfront. Your licence changes once payment is received.
- Reducing the number of seats takes effect at your next renewal.
4. Cancellation and refunds
Licences are non-refundable once paid. That includes any time or seats you don't use.
- You can stop using SkillsLedger at any time, and your licence simply runs to its end date.
- If you delete your workspace, its licence ends straight away and there's no refund for the time remaining. You're asked to confirm this before the workspace is deleted.
- Orders that haven't been paid yet can be cancelled from your account at no cost.
- If we stop providing SkillsLedger to you for any reason other than your breach of these terms, we'll refund the unused part of any licence you've paid for.
Nothing in this section affects any rights you have that can't be excluded by law.
5. AI features
SkillsLedger includes optional AI features, such as written summaries of skills reports, career-path suggestions, skill suggestions for your catalogue and help building reports. They're powered by a third-party AI provider, Anthropic. To produce them, the relevant data (for example a person's name, work email and skill ratings) is sent to Anthropic. See our Privacy Policy.
AI can get things wrong. AI-generated content may be inaccurate, incomplete or out of date. Check it before relying on it.
- AI content is a starting point to help your team. It isn't professional, legal, HR or career advice.
- Don't make decisions about people (such as hiring, pay, promotion, performance or dismissal) based solely on AI-generated content. A person in your organisation should always review it and make the decision.
- AI features have usage limits per user and per workspace, and we may change, limit or withdraw individual AI features at any time. Your admin can switch any AI feature off.
- Extra AI requests can be bought from your account. They're charged at cost, start when the order is paid, apply to each month of the term you chose, and unused requests don't carry over. Like licences, they're non-refundable once paid.
- If your organisation connects its own AI key (Claude, OpenAI or Microsoft Azure OpenAI), AI requests are sent to that provider under your own agreement with them and billed to your account. You're responsible for that agreement and its costs, and the monthly AI allowance doesn't apply.
- We aren't responsible for decisions made, or action taken, on the basis of AI-generated content.
6. Your data
The skills data your team enters belongs to your organisation and lives in a private database for your workspace only. We process it on your behalf to run the service, as described in our Privacy Policy. You're responsible for having a lawful basis to put your people's data into SkillsLedger and for telling them how it's used, including the AI features. Your admins can export or erase an individual's data at any time from within the app.
7. Acceptable use
You agree not to:
- use SkillsLedger for anything unlawful, or to store content you don't have the right to store;
- try to access another organisation's workspace or data, or get round security or usage limits;
- probe, scan or overload the service, or reverse-engineer it, except where the law allows;
- resell or share access to SkillsLedger outside your organisation without our written agreement.
You're responsible for activity under your accounts, including keeping passwords and admin access secure.
8. The service and changes to it
We work to keep SkillsLedger available, secure and backed up, but it's provided "as is": we don't promise it will be uninterrupted or error-free, or that it will suit every purpose. We'll sometimes need to carry out maintenance, and we'll try to keep any downtime short. We improve SkillsLedger regularly and may change features, provided we don't materially reduce the core service during a licence you've paid for.
9. Suspension and ending the service
We may suspend or close a workspace if these terms are seriously breached, if it's needed to protect the service or other customers, or if the law requires it. Where it's reasonable, we'll tell you first and give you a chance to put things right. When a workspace is closed, its data is deleted after a short period, so export anything you need beforehand.
10. Our liability
- We aren't liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, however it arises.
- Our total liability to you in any 12-month period is limited to the amount you paid us for SkillsLedger in that period.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
11. Changes to these terms
We may update these terms from time to time, and the date at the top shows when they last changed. If a change is significant, we'll let account owners know by email. A licence you've already paid for continues on the terms that applied when you bought it, until you renew it.
